These Terms of Use ("Terms") govern your access to and use of the Obinex website located at obinex.com, any related webpages, digital content, community communication channels, and our pre-launch referral system (collectively, the "Site" or the "Service").

Please read these Terms carefully before using the Website or registering for our Service.

1. WHO WE ARE

The Site and the referral Service are operated by INNOVATION LABS-FZCO, a company incorporated in the International Free Zone Authority (IFZA) Dubai, UAE, under registration number 57101, with its registered office at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates (hereinafter referred to as "Obinex", "we", "us" or "our").

2. ACCEPTANCE OF THESE TERMS

By accessing, browsing, registering your email, creating a username, or participating in our referral system, you confirm that:

  • You have read, understood, and agree to be bound by these Terms;
  • You are at least 18 years of age and legally capable of entering into a binding agreement;
  • You will use the Site and Service only for lawful purposes; and
  • You will comply with all applicable local and international laws.

If you do not agree to these Terms, you must immediately stop using the Site and must not register for our Service.

3. DEVELOPMENT-STAGE PLATFORM & PRE-LAUNCH STATUS

Obinex is currently in its early pre-seed concept, design, and development stage. The Site and the referral system are intended solely to provide general information about Obinex’s long-term vision, proposed technology, and to test market interest (building a community waitlist).

What Obinex is NOT today: The Site is not an operational centralized virtual-asset exchange (CEX), trading platform, brokerage, custody service, wallet provider, payment processor, or financial services platform.

Unless expressly agreed otherwise in writing by an authorized corporate representative of Obinex, Obinex does not currently:

  • Accept customer fiat money, deposits, or virtual assets;
  • Execute digital asset trades, orders, swaps, or transfers;
  • Provide custody, wallet infrastructure, or brokerage exchange services;
  • Offer, sell, issue, or distribute tokens, equity, securities, or digital assets.

Any future virtual-asset exchange services (CEX) developed by Obinex will be subject to entirely separate terms and conditions, strict onboarding procedures, full KYC/AML compliance, risk disclosures, and the approval of applicable regulatory licenses.

4. REGULATORY STATUS AND LICENSING DISCLAIMER

INNOVATION LABS-FZCO (OBINEX) IS NOT CURRENTLY LICENSED, AUTHORIZED, REGISTERED, OR SUPERVISED BY THE DUBAI VIRTUAL ASSETS REGULATORY AUTHORITY (VARA), THE DFSA OF THE DUBAI INTERNATIONAL FINANCIAL CENTRE, THE FSRA OF ABU DHABI GLOBAL MARKET (ADGM), OR ANY OTHER FINANCIAL OR VIRTUAL-ASSET REGULATORY AUTHORITY WORLDWIDE.

Any reference on our Site, social media, or roadmap to potential future compliance frameworks, regulatory standards, or future licensing plans reflects Obinex’s current commercial intentions only. Such references do not guarantee that a regulatory application has been submitted, that any license will be granted, or that the proposed CEX services will ever become commercially available. No regulator has reviewed, verified, or approved the contents of this Site.

5. PRE-LAUNCH REFERRAL PROGRAM RULES

By participating in the Obinex referral program (submitting an email and username to generate a referral link), you explicitly agree to the following rules:

  • No Financial Value: Referral points, ranks, or positions on the waitlist accumulated during this pre-seed phase do not constitute commercial equity, legal debt, guaranteed tokens, or financial claims against Obinex. Any future allocation of rewards or platform benefits remains at the absolute and sole discretion of Obinex and will be subject to separate terms and verification.
  • Anti-Manipulation & Fraud: You must not manipulate the referral system. The use of bots, temporary email generators, fake accounts, script automation, or any deceptive practices to inflate referral metrics is strictly prohibited.
  • Right to Disqualify: Obinex reserves the right, at its absolute discretion and without prior notice, to audit, suspend, or permanently delete any user profile and void any accumulated points if system manipulation or fraudulent behavior is suspected.

6. ELIGIBILITY AND RESTRICTED PERSONS

You may use this Site and participate in the referral Service only if it is lawful to do so in your country of residence. You are strictly prohibited from accessing the Site or registering an account if:

  • You are a citizen, resident, or are located in a jurisdiction subject to comprehensive sanctions, embargoes, or restrictive measures imposed by the United Nations (UN), the United Arab Emirates (UAE), the United States (US), the United Kingdom (UK), or the European Union (EU);
  • Your participation would cause Obinex to violate any applicable law or require a regulatory license that it does not currently hold.

Obinex reserves the absolute right to employ technical filters, block specific IP addresses, or restrict access from any territory or category of persons at any time without liability.

7. NO RELIANCE AND FORWARD-LOOKING STATEMENTS

All digital content, technical roadmaps, visual timelines, product concepts, and illustrations provided on the Site are for general informational and community-building purposes only. They do not constitute financial, investment, legal, tax, or professional advice.

The Site contains "forward-looking statements" based on current project assumptions. These statements are inherently uncertain and subject to major technical, legal, market, regulatory, and financial changes. You must not rely on any roadmap milestone or project description as a binding promise or guarantee of future performance. Any actions taken based on the Site content are entirely at your own risk.

8. INTELLECTUAL PROPERTY

Unless otherwise stated, all intellectual property rights in the Site, its source code, design interface, branding, logos, trademarks, and community content are owned exclusively by or licensed to INNOVATION LABS-FZCO.

We grant you a limited, revocable, non-transferable, and non-exclusive license to access the Site for personal, lawful, and non-commercial purposes. You may not copy, reverse engineer, scrape, or distribute our content or code without our express prior written consent.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Site and the pre-launch referral Service are provided on an "as is" and "as available" basis, without any warranties or guarantees of any kind.

Obinex, its founder, affiliates, directors, employees, or pre-seed advisors shall not be held liable for any direct, indirect, incidental, or consequential loss, data corruption, technical downtime, or damage arising out of or in connection with your use of the Site, your reliance on our roadmap, or your participation in the referral program. In any event, Obinex’s maximum aggregate liability shall not exceed AED 1,000 (One Thousand UAE Dirhams).

10. CHANGES TO THESE TERMS

We reserve the right to revise and update these Terms from time to time as our technological stack evolves and we transition into further corporate and licensing phases. Any modifications will be effective immediately upon being published on this page, with an updated "Last Updated" date. Your continued use of the Site or Service constitutes your acceptance of the revised Terms.

11. GOVERNING LAW AND JURISDICTION

These Terms, your access to the Site, and any non-contractual disputes arising from or in connection with them shall be governed by, and construed in accordance with, the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates applicable therein.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Courts of the Dubai International Financial Centre (DIFC Courts), Dubai, UAE.
